1. Acceptance of Terms
By accessing or using the MEDSINC RCM website or engaging our services, you agree to be bound by these Terms
and Conditions (‘Terms’). If you do not agree to these Terms, please do not use our website or services. These Terms
apply to all users, clients, and visitors.
2. Services Description
MEDSINC RCM provides medical billing, coding, revenue cycle management, insurance eligibility verification, denial
management, accounts receivable follow-up, credentialing, and reporting & analytics services to healthcare providers
in the United States. All services are provided under separate service agreements executed between MEDSINC and
each client.
3. Client Responsibilities
- Provide accurate, complete, and timely patient demographic, insurance, and clinical documentation
- Ensure their practice operates in compliance with applicable healthcare laws and regulations
- Notify MEDSINC promptly of changes to insurance contracts, payer information, or practice structure
- Review reports and flag discrepancies within the timeframes specified in the service agreement
- Maintain proper licensing, accreditation, and provider enrollment in good standing
- Designate an authorized representative for all communications with MEDSINC
4. MEDSINC Responsibilities
- Provide accurate medical billing and coding services in compliance with applicable regulations
- Maintain HIPAA compliance and execute Business Associate Agreements with all clients
- Submit clean claims within 24–48 hours of receiving complete documentation
- Provide transparent reporting and performance metrics as specified in service agreements
- Notify clients promptly of any issues that may affect billing operations or compliance
- Maintain the confidentiality and security of all PHI received in the course of services
5. Fees and Payment
Service fees are outlined in individual service agreements and may be structured as a percentage of collections, perclaim fees, flat monthly fees, or a combination thereof. All fees are due as specified in the applicable service

agreement. MEDSINC reserves the right to suspend services for accounts with outstanding unpaid invoices exceeding
30 days, with 15 days prior written notice.
6. Intellectual Property
All content on the MEDSINC website, including text, graphics, logos, icons, images, and software, is the property of
MEDSINC RCM and protected by applicable intellectual property laws. You may not reproduce, distribute, or create
derivative works without express written consent.
7. HIPAA Compliance Obligations
MEDSINC operates as a Business Associate under HIPAA. All client engagements involving PHI require execution of
a Business Associate Agreement (BAA) in compliance with 45 C.F.R. § 164.504(e). MEDSINC will use and disclose
PHI only as permitted or required by the BAA and the HIPAA Rules. Clients, as Covered Entities, are responsible for
their own HIPAA compliance obligations independent of MEDSINC’s services
8. Limitation of Liability
MEDSINC’s liability to any client shall be limited to the fees paid by that client in the three months preceding the claim.
MEDSINC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost
profits, arising from the use of our services. MEDSINC is not responsible for claim denials resulting from incomplete,
inaccurate, or untimely documentation provided by the client.
9. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party from claims, damages, liabilities, and
expenses arising from their own negligence, willful misconduct, or breach of these Terms. Clients shall indemnify
MEDSINC for claims arising from inaccurate patient or clinical information provided to MEDSINC.
10. Term and Termination
Service agreements commence on the effective date and continue for the term specified therein. Either party may
terminate with written notice as specified in the service agreement. Upon termination, MEDSINC will return or destroy
PHI in accordance with the BAA. Provisions relating to confidentiality, HIPAA, intellectual property, and limitation of
liability survive termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to
its conflict-of-law provisions, except to the extent preempted by federal law, including HIPAA. Disputes shall be
resolved in the courts of appropriate jurisdiction in Texas.
12. Modifications
MEDSINC reserves the right to modify these Terms at any time. Material changes will be communicated via email or
prominent website notice. Continued use of our services after notice of changes constitutes acceptance of the
modified Terms.
